These policies apply to products purchased directly from shop.sjialab.com from SJ Scientific Limited. They provide contractual information or benefits in addition to any mandatory customer rights. Nothing in them excludes, restricts, or replaces a right or remedy that cannot lawfully be excluded. Where mandatory law conflicts with these policies, that law prevails.
Seller and application of these terms
Unless the final accepted order states otherwise, the seller and commercial warranty provider is SJ Scientific Limited, Hong Kong. Ningbo Sjia Instrument Co., Ltd. is an associated mainland China manufacturer and engineering-support entity, not the online contracting seller unless an accepted order expressly says otherwise. These Terms of Sale apply with the final quotation or order confirmation, technical specification, Return & Refund Policy, Shipping & DDP Policy, Limited Warranty, and any signed amendment.
If documents conflict, a mutually signed technical agreement or amendment controls first, followed by the accepted order confirmation or pro forma invoice, the final quotation, these Terms, and then general website content. No document may reduce a mandatory customer right.
Staged order and contract formation
A product page, quote request, Start Order submission, automated acknowledgement, or delivery-review order is not a final acceptance of an order and does not require payment. We review product availability, voltage, configuration, destination, delivery scope, compliance, and total price. Before payment, the customer receives a final order summary and secure payment link. The customer must review and accept that final summary and the then-current policies. A contract is formed only when payment is successfully authorized and we issue acceptance, unless a signed agreement states another formation point.
Configuration and customer information
The final accepted order controls model, quantity, voltage, frequency, phase, options, accessories, capacity basis, destination, delivery term, and included services. The customer is responsible for reviewing those details and for providing accurate application, consignee, customs, electrical, environmental, access, and site information. A product-page description is general and does not replace the final technical specification.
Freeze-drying time, batch capacity, residual moisture, appearance, yield, and energy use depend on the material, initial moisture, loading depth, container, formulation, pre-freezing, ambient conditions, utilities, and cycle settings. Website capacities and examples are selection references; only a performance criterion and test method expressly included in the accepted technical specification are a binding performance commitment.
Price and payment
Prices are in the currency shown in the final order. A displayed EXW equipment price excludes freight, insurance, duties, taxes, customs, brokerage, installation, and other services unless expressly included. Payment must be made through an approved method and may be subject to fraud, sanctions, export-control, and identity checks. Refunds are returned to the original payment method unless law requires otherwise.
Cancellation and changes
A cancellation or configuration change must be requested promptly in writing. Before production, customization, or shipment begins, we normally cancel in full, subject only to an actual non-recoverable processing charge capped at 3% where lawful and disclosed. A business customer requesting cancellation after procurement, production, customization, or shipment begins may be charged documented committed costs. Mandatory consumer cancellation rights remain unaffected.
Delivery, inspection, returns, and warranty
The Shipping & DDP Policy governs shipping scope, Incoterms, site readiness, delivery evidence, risk, and failed delivery. The Return & Refund Policy governs RMA, voluntary returns, defects, and refunds. The Limited Warranty describes commercial coverage and international support. Those policies are incorporated into these terms without reducing mandatory rights.
Safe use and support
The customer must use suitable utilities, environment, ventilation, materials, maintenance, trained personnel, and safety procedures. Remote diagnosis does not authorize unsafe access to electrical or refrigeration systems. Third-party work should not be commissioned at our cost without written approval, except where an urgent safety response or mandatory law requires otherwise.
Export controls and lawful use
Orders and support are subject to applicable export-control, sanctions, customs, anti-corruption, and end-use laws. The customer must provide accurate consignee, beneficial-owner, end-user, and end-use information and must not resell, export, or use equipment unlawfully. We may pause or decline a transaction when reasonably required for compliance and will handle any refund according to law and documented unrecoverable costs.
Business-customer liability
For a transaction made wholly or mainly for business purposes, and to the maximum extent permitted by law, neither party is liable for indirect, incidental, special, punitive, or consequential loss, or loss of production, samples, food, profit, revenue, goodwill, or data. Our aggregate contractual liability is limited to the amount paid for the affected product, except for fraud, wilful misconduct, death or personal injury caused by negligence, title, confidentiality, intellectual-property liability expressly assumed, or another liability that cannot lawfully be limited.
Governing law and disputes
For a business customer, these terms and a purchase through this store are governed by the laws of the Hong Kong Special Administrative Region, and the Hong Kong courts have non-exclusive jurisdiction, unless the final signed agreement states otherwise. This clause does not deprive a consumer of protection or a forum that mandatory law preserves. The parties should first try in good faith to resolve a dispute through written escalation.
Events outside reasonable control and notices
Neither party is liable for delay caused by an event outside its reasonable control, except that this does not excuse payment already due or a mandatory refund. The affected party will take reasonable steps to reduce the delay and communicate a material impact. Contract notices should be sent to the order contact and info@sjialab.com unless the accepted order specifies another address.
Mandatory rights and severability
Nothing in the contract excludes liability or customer rights that cannot lawfully be excluded. If one provision is invalid or unenforceable, it will be limited to the minimum extent necessary and the remaining provisions continue. A waiver must be in writing and applies only to the stated instance.
